This Terms of license is a legal agreement between the end user ("You") and PTOne Presentation Group Co., Ltd., the operator of the GoodPello website. Please carefully read the following terms and conditions before using GoodPello’s services. By using the service, you agree to comply with this User License and Warranty.

1. Copyright and Ownership of Templates

1. All content provided and sold by GoodPello, including text, photos, illustrations, figures, graphs, templates, and formatting elements, is owned by PTOne Presentation Group Co., Ltd. and its content providers.
2. Unauthorized copying, distribution, modification, or use of content for purposes not permitted by this license may result in civil and criminal liability under copyright laws and relevant regulations.

2. Copyright and Ownership of Images

1. The original copyright of images (such as photos, illustrations, and icons) included in GoodPello content belongs to GoodPello and third-party image providers.
2. GoodPello and third-party image providers assume no responsibility for any legal issues arising from unauthorized redistribution, reuse, or modification of content beyond the permitted usage scope. All legal liabilities and compensation obligations resulting from such actions rest solely with the user.

3. License Grant

1.  When purchasing a GoodPello service (subscription or one-time payment), you are granted a non-exclusive and limited license to use downloaded content.
2. Users must comply with the policies of the purchased license type (Individual, Team, or Enterprise) and may not use the content beyond the permitted scope.
3. Commercial Usage
   ① GoodPello content may be used for commercial projects.
   ② However, users may not resell the content directly or redistribute it in the form of editable templates.
4. Subscription Service
   ① Content may only be used in registered projects during the subscription period.
   ② Once the subscription expires, you may continue to use the content in the previously registered projects, but you must renew
        the subscription to use for new projects.
5. One-Time Payment Service
   ① You can choose a usage period of either ’30-day’ or ‘1-year’, and the content may only be used in registered projects during
        the selected period.
   ② After the usage period ends, you may continue to use the content in the previously registered projects, but a new payment is
        required to use it in new projects.

4. Scope of License

1. Good Pello content may be used by individuals, teams, or enterprises, but each user must adhere to the usage scope of their purchased license type.
2. Scope Use by License Type
   ①  Individual License (Issued upon purchasing an Individual Plan) :
         Use is restricted to the account holder only and may not be shared with team members or third parties. The content may
          be used for both personal projects and work-related projects as a single employee of an organization; however, sharing
          content with other employees within the same organization or collaborating using the content is not permitted.
   ② Team License (Issued upon purchasing a Team Plan) :
        Users within the same Team Plan may share and collaborate on content within projects. However, distribution or sharing
        of content outside the team is prohibited.
   ③ Enterprise License (Issued upon purchasing Enterprise Plan) :
        Multiple users within the company may jointly use the content. However, distributing or sharing outside the company
        (e.g., with clients of partners) is strictly prohibited.
3. When sharing or distributing content online, it must be converted into a non-editable file format (e.g., PDF, JPG).

5. Subscription Status and License Validity

1. Conditions for Using Downloaded Content
   ① Subscription Service: Content downloaded during the subscription period can only be used in the projects registered within
        that period.
   ② One-time Payment Service: Users can choose between a 30-day or 1-year usage period, during which the downloaded
        content can only be used within the registered projects.
   ③ After Subscription or One-time Payment Ends: Previously used content can continue to be used in the existing projects,
        but users must renew their subscription or repurchase one-time payment service to use it in new projects.
2. Restrictions on Re-Downloading After Subscription Expiry
   ① Once the subscription or one-time payment service expires, previously downloaded content cannot be redownloaded,
        and licenses for new projects cannot be issued.
   ② The license for the existing projects remains valid, but using content in new projects requires a renewed subscription
        or repurchase one-time payment service.
   ③ Users must back up any necessary content and license information before their subscription or one-time payment
        service period ends.
3. License Validity
   ① Licenses are only valid for projects registered during an active subscription or one-time payment service period.
   ② Permission to use content in new projects is only valid when the subscription or one-time payment service status is active.

6. Prohibited Actions

The following actions are strictly prohibited when using GoodPello’s content:

1. Extracting images or other source materials separately from the content and using them independently.
2. Separating images or objects from the content and using them in design works other than presentations.
3. Reselling, renting, or reproducing purchased content for third parties.
4. Modifying content to create derivative works or using it as a logo, trademark, or symbol.
5. Using or providing content in on-demand services.
6. Using content for data training, model development, content generation, or output production in AI-based services (e.g., ChatGPT, Stable Diffusion)
7. Using previously downloaded content in new projects after the expiration of a subscription or one-time access plan

GoodPello is not responsible for any legal issues or disputes with third parties arising from violations of the above restrictions. Users must comply with the license policy, and legal action may be taken in the event of a violation.

7. Download Restrictions and Management

1. Download Limits by Service Type
   ① With a subscription plan, members can download content without restrictions during the active subscription period.
   ② With a 1-day or 30-day pass (one-time payment plan), only a limited number and type of content can be downloaded during
        the specified period. Once the period ends, additional downloads are no longer available.
2. Restrictions After Service Expiration
   ① After the service period ends, additional downloads and license issuance are no longer available.
   ② For one-time payment plans, downloads are only allowed within the active usage period. Any remaining downloads will
        automatically expire at the end of the period and are non-refundable.
   ③ GoodPello does not store downloaded content; users are responsible for saving the files in a secure location.
3. Download History and Recovery Policy
   ① GoodPello retains members’ download history for up to one (1) year from the date of service termination. After that period,
        the records will be permanently deleted and cannot be recovered.
   ② GoodPello does not store content files individually for each member. Therefore, users must store their downloaded content
        in a secure location during the active service period.

8. Reproduction, Modification, Unauthorized Use, and Returns

1. Unauthorized reproduction of GoodPello’s products or use of such reproductions is considered intentional copyright infringement. This may result in legal action and claims for damages.
2. Preview images provided on the content detail pages are for evaluation purposes only. They may not be captured, copied, or saved for any personal or commercial use without prior permission from GoodPello.
3. Due to the nature of digital products, downloaded content is non-returnable and non-refundable. However, if an error in the content is confirmed, GoodPello may, after internal review, provide a corrected version. Refunds are not available in such cases.
4. Refund requests based on subjective dissatisfaction (e.g., design style or unmet expectations) or user error are not permitted.

9. Obligation to Comply with Content Usage Restrictions

1. Users must use GoodPello’s content in accordance with the license policy and copyright protection regulations. Violations of these policies may result in legal liability.
2. Users may not use GoodPello’s content in any manner that violates applicable laws or infringes upon the rights of others.
3. GoodPello content may only be used for the purposes permitted under the license agreement. Use beyond the licensed scope is strictly prohibited.
4. Users are permitted to modify the content; however, the original copyright remains the property of PTOne Presentation Group Co., Ltd. Any modified content remains subject to the same license restrictions as the original.

10. Limitation of Warranty

1. GoodPello makes no warranties regarding the accuracy, reliability, or suitability of the provided content for any particular purpose.
2. The results of using the content may vary depending on specific usage environments, user behavior, and device performance. GoodPello assumes no responsibility for any issues arising from such factors.
3. Digital products may behave differently depending on the user's device specifications, software environment, or method of use. GoodPello is not liable for any problems resulting from these conditions.
4. GoodPello shall not be held liable for any direct or indirect losses caused by defects in the content itself. The maximum liability of the company shall not exceed the purchase price of the relevant content.
5. GoodPello accepts no responsibility for any direct or indirect damages resulting from defects in digital products. The company’s total liability is limited to the amount paid for the product.

11. Liability and Indemnification

1. GoodPello and its officers, employees, partners, and agents shall not be held legally responsible for any direct or indirect damages, incidents, or legal disputes arising from the user’s use or inability to use the provided digital products.
2. Users agree to take full responsibility for any legal disputes, claims for damages, or costs (including reasonable attorney’s fees) resulting from violations of these Terms of Use, misuse of digital products, or the combination and use of such products. Users further agree to indemnify, defend, and hold harmless GoodPello and its affiliates from any such liabilities.
3. If GoodPello or its affiliates are subject to legal disputes arising from the user’s use of the product, the user shall be responsible for defending and protecting GoodPello, and shall bear all associated legal costs and damages.

12. Dispute Resolution and Jurisdiction

1. In cases where matters are not specified in this license policy or where there is a disagreement in interpretation, both parties shall make every effort to resolve the issue through mutual consultation based on the principle of good faith. If resolution cannot be achieved through consultation, the matter shall be handled in accordance with applicable laws and established practices.
2. In the event of a dispute between the user and GoodPello, the governing law shall be the laws of the Republic of Korea. All legal proceedings shall be subject to the exclusive jurisdiction of the Seoul Southern District Court, which has jurisdiction over the location of GoodPello’s headquarters.

13. Dispute Resolution and Jurisdiction

1. Any matters not specified in these Terms or any ambiguities in interpretation shall be resolved through mutual consultation in good faith. If a resolution cannot be reached, the matter shall be handled in accordance with applicable laws and relevant precedents.
2. In the event of a dispute between user and GoodPello, the governing law shall be the laws of the Republic of Korea. All legal proceedings shall be exclusively subject to the jurisdiction of the Seoul Southern District Court, where Good Pello’s headquarters is located.

14. Principle of Written Agreement

1. The user acknowledges that they have fully reviewed and agreed to the terms of this license agreement and have had the opportunity to seek legal counsel if necessary.
2. These license terms constitute the final and legally binding agreement between GoodPello and the user, superseding all prior agreements, whether oral or written.

15. Miscellaneous

Any matters not specified in this license shall be governed by the relevant laws of the Republic of Korea and general commercial practices. If necessary, modifications may be made through mutual agreement, or an additional license agreement may be established.

Supplementary Provisions
(Effective Date) These terms shall take effect on July 1, 2025.
Any changes to the terms will be notified to users at least 7 days in advance.
