The following Terms of Use shall apply to all visitors, users, buyers, sellers and others who access the Service (“Users”) all users of the Good Pello (“Good Pello”) and regulates various matters and other necessary matters related to the membership and usage required for the use of digital contents services (“Service”) provided by Good Pello. By accessing or using the Service, you signify that you have read, understood, and agree to be bound by this Terms of Use Agreement (“Agreement”) and to the collection and use of your information as set forth in our Privacy Policy, whether or not you are a registered user of our service.
1. Definitions

A.Contents: visual materials and document templates including digitalized contents (text, photos, illustration, figures, diagrams, graphs, forms, templates and etc.) provided to members within Good Pello.

B.Digital Contents Service: services provided to members through internet by digitalizing visual materials (text, photo images, illustration, figures, diagrams, graphs, forms, template and etc.) that Good Pello provides. (“service”)

C.Users: Members and non-members that access and use service Good Pello provides according to the Terms.
-
D.Members: anyone who has registered for a membership account by providing personal information. Members are provided with Good Pello’s service according to guidance to contents use and various regulations of the terms set forth by Good Pello.

E.Non-members: anyone who uses Good Pello’s service without registering as a member.
-
F.Subscription Service: automatic renewal service that allows members to download fixed quantity of contents during the subscription period. The contents you can download with the subscription plan is only available in Subscription shop.

G.Non-Subscription Shop: a place where contents created by Good Pello and the contracted contents provider are being sold. In non-subscription ship, the contents can be purchased individually.
2. Use of Services
Good Pello is a marketplace and community where people can sell and purchase digital contents such as templates, diagrams and etc. and share various information. Good Pello’s service contains two different types of shops; subscription shop and non-subscription shop. Subscription shop is a place where members subscripted to our subscription service can download contents and save money. Non-subscription shop is a place where members who are not subscripted to our subscription service can purchase contents individually.
A. Eligibility
You may use the Service only if you can form a binding contract with Good Pello, and only in compliance with this Agreement and all applicable laws, rules and regulations. You need to 13 years or over to browse the Good Pello site. When browsing the site you agree to our policies and terms and keep in mind that they apply to any use of our site whether or not you’re a member.
B. Eligibility

(i)You need be 18 years or over to become a member. If you are under 18 and want to become a member, you will need to use the account of a parent or legal guardian, who is at least 18 years of age, with their permission and this adult will be responsible for all your activities.

(ii)Anyone who wants to become a member and use the service must provide all necessary information required by Good Pello for registering for a member, such as username, email address, social network account information and country of residence and etc.
-
(iii)When creating your account, you must provide accurate and complete information in order to use the service; the information you provide should be entirely yours. Otherwise you shall not claim any rights.

(iv)If you create a Good Pello account on behalf of an organization or other entity, you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to this Agreement, and that you agree to this Agreement on the entity’s behalf.

(v)You, being a member of Good Pello, must keep your account information secure, and shouldn’t share confidential information with others.
-
(vi)Your account cannot be transferred to a third party, and you are solely responsible for the activity that occurs on your account.

(vii)You must notify Good Pello immediately of any breach of security or unauthorized use of your account. Good Pello will not be liable for any losses caused by any unauthorized use of your account.

(viii)You may manage your account information by changing and updating your information in your account settings page. You are responsible for keeping your profile information up-to-date and must update the information if there’s any change.

(ix)You must not infringe the intellectual property of a third party and Good Pello.
-
(x)You can request to cancel your membership on My Account page anytime you wish to no longer use the Service.
3. Service Rules
-
A.By completing creating your membership account after entering required information, you agree to the Good Pello’s Terms of Use and Privacy Policy, and this concludes service agreement between Good Pello and you. You must read the Terms of use and privacy policy carefully to ensure that you understand each provision prior to creating your membership account, and Good Pello provides the Terms of Use and Privacy Policy as a link on the bottom of the Sign up window.

B.The Terms of Use agreement become effective upon the completion of your registration process.

C.The Terms of Use are entered into and become effective as of the announced date on Good Pello, and are subject to change without any additional notices.

D.When making changes to Terms of use, we will notify you through a separate page or pop-up window on the main page of Good Pello from 7 days prior to the effective date to a day before the effective date stating the effective date and reasons for change. However if the changes of terms are related to member’s right or responsibility, we will provide at least 14 days of grace period and notify through a separate linked page or pop-up window.

E.If you cannot agree to the changed terms, you can cancel your membership. If you do not express intention to refuse the terms even after 14 days of the effective date and continue to use the Service, we deem that you agree to accept those change and will be bound by them.

F.Good Pello may provide members with the information that is believed to be necessary for using the services via email.

G.This Agreement is basic agreement for service use between Good Pello and you. When necessary, Good Pello can set special terms for specific services (“Special Agreement”) and notify members. If you agree to the special agreement and use the specific services, the special agreement is applied by priority and these terms take supplementary effects. For any changes to the special agreement, the clause 3-D is applied.

H.You agree not to engage in any of the following prohibited activities:
-
(i)Providing incorrect or false information when registering for membership or updating member profile
-
(ii)Stealing other member’s id and password
-
(iii)Making deals with others using member’s ID
-
(iv)Insulting or humiliating other members or third party
-
(v)Impersonating Good Pello’s administrator, employee or associates
-
(vi)Changing Good Pello’s client program or changing entire or part of posted information or hacking into the service without Good Pello’s authorization
-
(vii)Harming or disturbing Good Pello’s service intentionally
-
(viii)Duplicating or sharing information gained through the Service with a third party without Good Pello’s approval for any purposes besides use of service
-
(ix)Sending, posting and distributing contents containing vulgar or obscene contents that violates and offense against public order and public morals.

(x)Considered to be connected with crime objectively
-
(xi)Violating all related regulations or terms and conditions set forth by Good Pello including this Agreement
-
(xii)Anything that violates other related laws
-
4. Limitations
Good Pello may refuse to provide service if the registered members fall under either or both of the following categories.
-
A.In case of stealing identity of others or filling out false information on the account sign-up window and My Account.
-
B.In case of using this services for illegal use.
5. Purchasing and Payment
All members must follow the conditions listed below when purchasing items and using service.

A.Purchase of all items being sold on Good Pello is only available for members. You must sign up for a membership in order to purchase items on Good Pello.
-
B.Good Pello provides members two different ways to purchase contents:
-
(i)Purchase through subscription services: by subscribing to Good Pello’s subscription plans, you will be provided with fixed number of contents that you can downloads for the fixed period set for each type of subscription plans. Subscription plans include enrollment in automatic renewal services. With subscription plans, you can only download contents being sold in subscription shop, and this will enable you to use our service at much lower price than purchasing each item individually.

(ii)Purchasing items individually as a non-subscription member: members who are not subscribed to our subscription plans can purchase items sold in the non-subscription shop individually. Individual purchase is only available in the non-subscription shop.

C.You must carefully consider the suitability of your chosen subscription, license and contents prior to your purchase.
-
D.You cannot cancel a completed purchase of an item or subscription.
-
E.Good Pello does not guarantee that any particular item will continue to be available on Good Pello, so you should download and save the item as soon as you purchase it.
-
F.Individually purchased contents can be downloaded for unlimited times within 72 hours from the purchased date and time.
-
G.Contents purchased using subscription plan can be downloaded for unlimited times within 72 hours from the initial download date and time of each item. Any contents re-downloaded after 72 hours after the initial download will be counted as a new product download and will cause a deduction from the remaining number of available downloads.
-
H.Once you purchase an item and pay in full, you acquire a non-exclusive license to use the item under the terms set out in the license (non-exclusive means others might also license the same item as your purchased item).
-
I.The price of items can vary depending on the contents type, quality and service.
-
J.Fees are subject to change due to circumstances, and Good Pello will notify members of any changes by posting notices on the website.
-
K.The only available method of payment on Good Pello is credit card and PayPal Balance.
-
L.Subscription members can manage the auto renewal payment method for subscription plans in the setting page of My Account page.
6. Subscription Withdrawal and Refund
-
A.You can cancel your subscription anytime; however pre-paid amount for the subscription plan cannot be refunded and you can continue to use the service until your subscription service period expires or use up all your remaining downloads. You can cancel your subscription plan in settings page of My Account.
-
B.Given the nature of downloadable digital items, we do not provide a refund or credit on a purchase. We provide preview images of each product which can be viewed by members prior to purchase, and members can determine and purchase the right and appropriate items. There is no obligation to provide a refund or credit in situations like the following:
-
(i)You have changed your mind about an item;
-
(ii)You bought an item by mistake;
-
(iii)You do not have sufficient expertise to use the item;
-
(iv)You no longer have access to the item because it has been removed (we advise you to download items as soon as you purchase them to avoid this situation).

C.Once content are downloaded, Good Pello assumes that content are being used and the subscription cannot be withdrawn.
-
D.If non-refundable content fall under the conditions listed below, members are entitled to receive a full or partial refund according to the procedures set by the company:
-
(i)If there is no services available for the content purchased (cash account or fixed plan) and the responsibility lies solely with the company.
-
(ii)Where the company sets out separate rules for customer protection
-
-
E.Once the subscription is withdrawn, members shall cover all necessary expenses for return of content. However, if the withdrawal is due to the content of the product being different from the advertisement or the agreement, Good Pello shall pay all necessary expenses for return of the content.
7. Scope of Use
-
A.Good Pello provides content on the premise of non-exclusive use and approves non-exclusive license to members under the conditions hereafter specified:
-
(i)Members can use the purchased digital content for both personal and business purposes.
-
(ii)In the event of disclosure and deployment, the file shall be converted into PDF format so as to prevent any modifications.
-
(iii)Members shall not use images and other components included in the purchased products separately.
-
(iv)All content can be used only in a printable format of the same file.
-

B.Additional agreement shall be required for any cases that fall under the conditions specified below, which are not stated in the License Regulations:
-
(i)When using for TV commercials, newspapers and media
-
(ii)When using the purchased items for online video lectures
-
(iii)When using the purchase items for the purposes considered necessary to have additional agreement between members and Good Pello.

8. Disclaimer

A.Good Pello does not share responsibility if,
-
B.Good Pello is not responsible for your failure to not gaining or losing benefits even after using Good Pello’s service.
-
(i)Good Pello cannot provide services due to natural disasters such as flood, earthquake and etc., war, and other force majeure.
-
(ii)Service failure or damage occurs due to members’ fault.
-
(iii)Content are not provided due to errors on the member’s computer.
-
(iv)Good Pello wasn’t able to provide contents due to incomplete or incorrect personal information and email address provided by members.
-

C.Good Pello has no obligation to intervene in the disputes occurred between members or between a member and a third party in respect to the use of service, and is not responsible for any compensations thereof.
-
D.Good Pello is not responsible for any potential loss that may occur to members towards all complimentary services including services provided to members.
9. Miscellaneous
All disputes or claims arising out of or in connection with the use of services will be litigated exclusively in the Seoul District Court of Republic of Korea that has jurisdiction over the location of the head office.
This Agreement was last revised on July 25, 2022.
